Terms of Service

The Services are provided by:

The Provider operates as a sole proprietorship. Datacenters used for infrastructure Services are located in the European Union and operated by qualified partners (including ISO/IEC 27001 certified facilities), as specified for each Service.

For the purposes of these Terms:

• Customer: any natural or legal person who requests, purchases or uses the Services, including via a Client Area account.
• Consumer: a Customer who is a natural person acting for purposes outside their trade, business, craft or profession (Legislative Decree 206/2005 — Italian Consumer Code).
• Business Customer: any Customer other than a Consumer.
• Services: the offerings of KeverHosting, including without limitation: domain name registration and management; shared web hosting and LiteSpeed hosting; email services (business email, dedicated mail, Exchange Online where available); virtual servers (Cloud, Power, Enterprise VPS) and related add-ons; SSL certificates (including Let’s Encrypt where included and commercial certificates such as Sectigo); and other accessories purchasable in cart or from the Client Area.
• Client Area: the authenticated portal at central.keverhosting.com (or successors) used for orders, invoices, tickets, service management and renewals.
• Order: a request to activate or renew one or more Services, completed via the website, Client Area, accepted quote or another channel authorised by the Provider.
• Customer Content: data, files, websites, mailboxes, databases, software, configurations and any other material uploaded, transmitted or managed by the Customer through the Services.
• AUP: the acceptable use rules in Article 9.

3.1. The Provider supplies digital and infrastructure services on an “as a service” basis, according to the technical features, resource limits and commercial terms stated on the product page and/or in the Order at the time of purchase.

3.2. Unless otherwise agreed in writing, the Services do not include: development or maintenance of Customer applications; legal or tax advice; industry-specific regulatory compliance for the Customer’s business; SEO ranking guarantees; unlimited resources on shared platforms beyond plan limits; or on-site support.

3.3. Web and LiteSpeed hosting. Shared or semi-dedicated environment per plan; resources (disk, traffic, processes, inodes, CPU/RAM/I/O) are subject to fair use and technical limits to protect the platform. Where stated, plans may include Let’s Encrypt SSL and, on annual (or longer, if stated) billing cycles, registration of one domain name among the TLDs listed from time to time as “included domain”, under Article 8.

3.4. VPS (Cloud / Power / Enterprise). Compute resources isolated as per plan; the Customer is responsible for the OS, installed software, security updates, firewalls and application backups, unless managed options or add-ons are expressly purchased. Connectivity, storage and extras (IPs, backups, etc.) follow the Order.

3.5. Email. Mailboxes, storage, send/receive limits and anti-spam filters per plan. Optional services (e.g. NOC anti-spam management, reputation monitoring, mailbox migration) follow cart terms. Exchange Online, where offered, may depend on third-party (Microsoft) licences and terms which the Customer must comply with.

3.6. Domain names. The Provider typically acts as an intermediary towards accredited registries/registrars. Assignment, renewal, transfer and WHOIS/RDAP rules are subject to TLD and authority policies (e.g. .it / Registro.it). The Customer remains the domain holder vis-à-vis the registry within applicable rules.

3.7. SSL certificates. Commercial certificates are subject to the Certificate Authority’s terms. Let’s Encrypt is subject to public ACME service policies and limits; issuance is not guaranteed if technical requirements (DNS, HTTP-01, rate limits, etc.) are not met.

3.8. Marketing descriptions on the website are informational; the specifications confirmed in the Order and in the active Service sheet prevail.

4.1. The contract is formed upon the Provider’s acceptance of the Order and/or Service activation, subject to correct payment (unless credit terms are expressly granted) and provision of true and complete identification data.

4.2. The Customer warrants capacity to contract and, if acting for a third party or company, due authority. The Customer is responsible for accurate tax and billing data.

4.3. Client Area and control-panel credentials are personal. The Customer must keep them secure and promptly report unauthorised use. Actions performed with the credentials are presumed to be the Customer’s, unless proven otherwise.

4.4. The Provider may refuse, suspend or cancel an Order in case of incomplete or clearly false data; fraud or insolvency risk; AUP breach; technical impossibility; security or compliance reasons; or requests outside the current offering.

4.5. Activation may require variable technical times (especially for domains, SSL, VPS provisioning, migrations). Website timing indications are non-binding estimates unless a written SLA is specifically accepted.

5.1. Each Service has the term stated in the Order (monthly, annual or other). Unless otherwise agreed, no multi-year lock-in is imposed beyond the purchased billing cycle.

5.2. Renewal. Services may renew automatically at expiry if auto-renewal is enabled in the Client Area and/or if the Customer does not cancel in time. The Customer must monitor expiry dates, especially for domains (non-renewal may cause permanent loss of the name).

5.3. Customer cancellation. The Customer may terminate a Service from the Client Area or support channels. On early termination before the end of a prepaid period, unless mandatory law or a clearly stated promotion requires otherwise, the Provider’s commercial policy allows a pro-rata refund of full unused months of the current cycle, net of: (a) non-recoverable third-party costs already incurred (e.g. registry domain fees already paid, irrevocable licences, SSL certificates already issued); (b) setup, migrations and one-shot services already performed; (c) discounts tied to a minimum term if clearly stated in the Order. Remaining days of a started month may not be refunded. Refund method and timing follow billing workflows.

5.4. Consumers — right of withdrawal. If the Customer is a Consumer and the contract is distance-sold, a 14-day withdrawal right may apply, subject to statutory exceptions. In particular, withdrawal may not apply or may be lost where performance of the digital service began during the withdrawal period with the Consumer’s express consent and acknowledgement of loss of the right (Italian Consumer Code art. 59), which is typical of immediate activation of hosting, VPS, email and domains. In such cases the Consumer may owe a proportionate amount for services supplied until withdrawal, where any residual right still applies.

5.5. The Provider may terminate or not renew the contract in the cases under Articles 9 and 12, or upon discontinuation of the Service offering, with reasonable notice where possible and data handling under Article 12.

6.1. Prices are those shown at Order time, in Euro, net or gross of VAT as displayed in cart/invoice. Taxes and statutory charges are borne by the Customer as applicable.

6.2. Payment is due in advance of the service period unless otherwise agreed in writing. Accepted methods are those available in the Client Area.

6.3. On late or failed payment, the Provider may suspend Services after reminder, and charge statutory late-payment interest and recovery costs. Suspension for non-payment does not waive amounts accrued.

6.4. The Provider may update price lists for periods after the current expiry, with notice via website and/or Client Area and/or email on the account. Continued use after the new list takes effect constitutes acceptance, unless the Customer cancels before renewal.

6.5. Invoices are available in the Client Area. The Customer must promptly report discrepancies.

7.1. Promotions, coupons and launch prices may have special conditions (duration, eligibility, non-cumulation, quantity limits). Abuse or fraudulent use of discount codes may lead to cancellation of the discount and/or Order.

7.2. Promotional terms prevail over these Terms only to the extent expressly stated and for the period indicated.

8.1. Where a hosting plan (or other Service) includes a domain with an annual (or longer, if stated) billing cycle, inclusion covers only the TLDs listed from time to time on the website or in the Order configuration as eligible, typically for a one-year registration. The list may change; not all TLDs are included.

8.2. The included domain remains subject to registry rules and these Terms. On expiry, domain renewal may be chargeable at list price even if hosting is renewed, unless otherwise stated in the Order.

8.3. Outbound transfers, registrant changes and special domain operations may involve registry costs or constraints (lock, auth code, transfer windows).

8.4. Some Services depend on third parties (registrars, CAs, Microsoft, datacenters, anti-spam, etc.). The Provider is not liable for outages or unilateral changes solely attributable to such third parties, while committing to professional diligence in selecting and managing those relationships.

9.1. The Customer shall use the Services in compliance with Italian and EU law, these Terms and the Provider’s technical policies.

9.2. It is prohibited, without limitation, to:

• host, transmit or promote unlawful content (including malware, phishing, child sexual abuse material, apology of crime, breach of state secrets);
• infringe intellectual property, industrial property or personality rights of third parties;
• send unsolicited commercial communications (spam) or operate lists without a lawful basis and opt-out;
• conduct cyber-attacks, unauthorised scanning, abusive mining, open relays/proxies, or activity harming the network or other customers;
• circumvent technical limits, fair use, quotas or security controls;
• use the Services for activity exposing the Provider to sanctions, blacklisting or criminal/administrative liability.

9.3. Abuse reports must be sent to abuse@keverhosting.com. The Provider may investigate, require immediate content removal, filter traffic, suspend accounts or cooperate with competent authorities, including without a court order when necessary to protect the network, third parties or legal obligations (within the limits of e-commerce intermediary liability rules, where applicable).

9.4. On shared platforms, the Provider may apply containment measures (throttling, process limits, quarantine) to preserve service stability for all users.

10.1. The Customer is solely responsible for Customer Content and for the lawfulness of activities carried out through the Services (including websites, ecommerce, processing of third-party personal data, newsletters, application logs).

10.2. Regarding personal data uploaded or processed by the Customer through the Services (e.g. end-user data of a website or mailboxes), the Customer generally acts as Controller. To the extent the Provider processes such data on the Customer’s behalf solely to deliver the infrastructure, the Provider may act as Processor under GDPR Article 28, according to the Customer’s documented instructions and the Privacy Policy. A Data Processing Agreement (DPA) may be required depending on the Service.

10.3. The Customer warrants that appropriate notices and legal bases have been provided to data subjects and that special categories of data are not uploaded without adequate measures and bases.

10.4. The Provider is not obliged to pre-screen Customer Content, without prejudice to legal duties and actions following notices or authority orders.

11.1. Any backups performed by the Provider (if included in the plan or as an add-on) mitigate risk and do not replace the Customer’s duty to keep autonomous, verifiable copies of critical data. The Customer should periodically test restores.

11.2. No backup or high-availability system guarantees 100% recovery in every scenario (ransomware, logical deletion, Customer misconfiguration, catastrophic events, replication lag).

11.3. The Customer is responsible for passwords, SSH keys, application updates, plugins/themes and correct DNS, SPF/DKIM/DMARC and firewall configuration, unless expressly purchased managed services apply.

11.4. The Provider adopts technical and organisational measures appropriate to the risk, consistent with the state of the art and the nature of the Services, without guaranteeing the absolute absence of incidents.

12.1. The Provider may suspend Services in whole or in part, with or without prior notice depending on severity and urgency, in case of: breach of the Terms or AUP; security or stability risk; authority order; non-payment; or a substantiated third-party rights claim, within legal limits.

12.2. In cases of serious breach or unlawful conduct, the Provider may terminate the contract by right, without prejudice to damages.

12.3. On termination, the Provider may make Services unavailable and, after a reasonable technical period (unless legal retention or authority holds apply), delete Customer Content from operational systems. The Customer must export data before termination.

12.4. Survival clauses (including liability caps, indemnity, confidentiality, governing law) remain effective after termination.

13.1. The Provider may perform scheduled or emergency maintenance. Where possible, scheduled maintenance is announced in advance via status page, email or Client Area.

13.2. Published uptime figures for marketing purposes do not by themselves create a compensation commitment, unless a specific written SLA with clearly defined service credits applies.

13.3. The Provider may update software stacks, IPs, hostnames, security policies and architectures without substantially altering the purchased Service; material changes will be notified with reasonable advance notice where reasonably possible.

16.1. Platforms, software, trade marks, logos, documentation and materials of the Provider remain the exclusive property of the Provider or its licensors. The Customer receives a non-exclusive, non-transferable licence limited to using the Services for the contract term.

16.2. Customer Content remains owned by the Customer or rightful owners. The Customer grants the Provider only the technical licence needed to host, transmit, back up and deliver the Services.

17.1. Each party shall not disclose the other’s confidential information learned in performing the contract, except for legal duties or technical need to involve sub-processors bound to confidentiality.

17.2. Notices to the Customer are valid if sent to the email associated with the Client Area account, published in the Client Area or, for general notices, on the website / status page.

18.1. The Provider may update these Terms for organisational, technical, commercial or regulatory reasons. The updated version is published on this page with a date.

18.2. For ongoing contracts, material changes adverse to the Customer will be notified with reasonable advance notice. A Customer who does not accept them may cancel the Service before the effective date, with the effects of Article 5. Continued use after the effective date constitutes acceptance of the new Terms, within legal limits.

20.1. Invalidity of any clause does not invalidate the Terms as a whole; the clause shall be replaced by a valid provision of equivalent effect as far as possible.

20.2. Failure to exercise a right does not constitute a waiver.

20.3. For matters not covered, the Italian Civil Code, the Consumer Code (where applicable), Legislative Decree 70/2003 and data-protection law apply.
